End - User Agreement

This End User License Agreement (the Agreement") is a legal agreement between you ("User" or “You”) and ROAM REALITY LLC, a company incorporated under the State of Delaware, in the United States of America ("Roam”, “Company," "we," "our," or "us"), and governs your use of the mobile application, software, their associated upgrades, patches, and updates and related services (the “App”) currently provided or which will be provided by the Roam Reality.

BY INSTALLING, ACCESSING, OR USING THE APP, YOU AGREE TO BE BOUND BY THE TERMS OF THIS AGREEMENT. IF YOU DO NOT AGREE TO THE TERMS OF THIS AGREEMENT, DO NOT INSTALL, ACCESS, OR USE THE APP.

1. LICENSE GRANT

Subject to the terms of this Agreement, Company grants the User a limited, non-exclusive, non-transferable, and revocable license to use the App for personal, non-commercial purposes on a mobile device owned or controlled by the User strictly in accordance with the Terms and Conditions of this License and any service agreement associated with your mobile device. THIS PRODUCT IS LICENSED TO YOU, NOT SOLD.

2. RESTRICTIONS

User shall not:

• Copy, modify, or distribute the App;
• Reverse engineer, decompile, disassemble, or attempt to derive the source code of, or decrypt the App;
• Make any modification, adaptation, improvement, enhancement, translation or derivative work from the App;
• Remove, alter, or obscure any proprietary notices or labels (including any notice of copyright or trademark) of the Company or its affiliates, partners, suppliers or licensors of the App;
• Use the App in any manner that could damage, disable, overburden, or impair our servers or networks.
• Violate any applicable laws, rules or regulations in connection with your access or use of the App;
• Use the App for any revenue generating endeavor, commercial enterprise, or other purpose for which it is not designed or intended;
• Use the Application for creating a product, service or software that is directly or indirectly competitive with or in any way a substitute for any service or software offered by the Company;
• Use any proprietary information or interfaces of the Company or other intellectual property of the Company in the design, development, manufacture, licensing or distribution of any application, accessories or devices for use with the App.

3. PRIVACY POLICY

By using the App, the User agrees to the terms of our Privacy Policy, which can be found at (link to Privacy Policy). The Privacy Policy is incorporated into this Agreement by reference.

4. UPDATES

Company may, from time to time, provide updates to the App. The User agrees to install such updates promptly to ensure the proper functioning of the App.

5. TERMINATION

This license is effective until terminated by the User or Company. The User may terminate this Agreement at any time by uninstalling the App. The Company may, in its sole and absolute discretion, at any time, if the User fails to comply with any terms of this Agreement, or for any or no reason, suspend or terminate this License and rights afforded to the User herein with or without prior notice or other action by the Company. Upon termination of this License, the User shall cease all use of the App and uninstall the App.

6. DISCLAIMER OF WARRANTIES

THE USER ACKNOWLEDGES AND AGREES THAT THE APP IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, AND THAT USE OF OR RELIANCE UPON THE APP AND ANY THIRD-PARTY CONTENT AND SERVICES ACCESSED THEREBY IS AT THE SOLE RISK AND DISCRETION OF THE USER. THE COMPANY AND ITS AFFILIATES, PARTNERS, SUPPLIERS AND LICENSORS HEREBY DISCLAIM ANY AND ALL REPRESENTATIONS, WARRANTIES AND GUARANTEES REGARDING THE APP AND THIRD-PARTY CONTENT AND SERVICES, WHETHER EXPRESS, IMPLIED OR STATUTORY, AND INCLUDING, WITHOUT LIMITATION, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. FURTHERMORE, THE COMPANY AND ITS AFFILIATES, PARTNERS. SUPPLIERS AND LICENSORS MAKE NO WARRANTY THAT:

• THE APP OR THIRD-PARTY CONTENT AND SERVICES WILL MEET YOUR REQUIREMENTS;
• THE APP OR THIRD-PARTY CONTENT AND SERVICES WILL BE UNINTERRUPTED, ACCURATE, RELIABLE, TIMELY, SECURE, ERROR-FREE;
• THE QUALITY OF ANY PRODUCTS, SERVICES INFORMATION OT OTHER MATERIAL ACCESSED OR OBTAINED BY THE USER THROUGH THE APP WILL BE AS REPRESENTED OR MEET THE USER’S EXPECTATIONS; OR
• ANY ERRORS IN THE APP OR THIRD PARTY CONTENT AND SERVICES WILL BE CORRECTED.

7. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL THE COMPANY BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES ARISING OUT OF OR IN CONNECTION WITH THE USER’S ACCESS OR USE OF OR INABILITY TO ACCESS OR USE THE APP AND ANY THIRD PARTY CONTENT AND SERVICES, WHETHER OR NOT THE DAMAGES WERE FORESEEABLE AND WHETHER OR NOT THE COMPANY WAS ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

8. GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of Delaware, United States of America.
